Acceptance of Terms

By accessing or using the SecureComplianceHub platform and services (the "Services") provided by Edentech Solutions Group LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Description of Services

SecureComplianceHub is a cloud-based governance, risk, and compliance platform that provides personnel screening, incident management, recall intelligence, and related compliance tools. The specific features available to you depend on your subscription plan and any additional terms in your service agreement.

Account Registration and Security

• You must provide accurate, complete, and current information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account or any other breach of security.
• We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates applicable federal, state, local, or international laws or regulations
• Attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services
• Interfere with or disrupt the integrity or performance of the Services or the data contained therein
• Upload or transmit viruses, malware, or any other malicious code
• Use the Services to store or transmit content that infringes on intellectual property rights of any party
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services
• Resell, sublicense, or make the Services available to any third party without our prior written consent

Subscription and Payment

• Access to the Services requires a paid subscription. Pricing and plan details are available on our Pricing page or in your service agreement.
• All fees are due in accordance with the billing terms in your subscription agreement. Fees are non-refundable except as expressly stated in your agreement.
• We reserve the right to change our pricing with reasonable notice. Changes will take effect at the start of your next billing cycle.
• If payment is not received by the due date, we may suspend or terminate your access to the Services.

Data Ownership and Intellectual Property

Your Data

You retain all rights to the data you submit to the Services ("Customer Data"). You grant us a limited license to use, process, and store Customer Data solely to provide and improve the Services. We will not access, use, or share Customer Data except as necessary to provide the Services or as required by law.

Our Intellectual Property

The Services, including all software, content, design, trademarks, and documentation, are owned by Edentech Solutions Group LLC and are protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Services except for the limited right to use the Services as described herein.

Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to third parties except as necessary to perform under these Terms or as required by law. Confidential information includes, but is not limited to, Customer Data, pricing terms, business processes, and technical information about the Services.

Service Availability and Support

• We strive to maintain high availability of the Services but do not guarantee uninterrupted or error-free operation.
• We may perform scheduled maintenance with reasonable advance notice.
• Support is available in accordance with your subscription plan. Enterprise clients may have dedicated support terms in their service agreement.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EDENTECH SOLUTIONS GROUP LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Edentech Solutions Group LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

Termination

• Either party may terminate the subscription in accordance with the terms of the service agreement.
• We may suspend or terminate your access immediately if you breach these Terms or if required by law.
• Upon termination, your right to use the Services will cease. We will make your Customer Data available for export for a reasonable period after termination, after which it may be deleted.
• Provisions that by their nature should survive termination (including confidentiality, limitation of liability, and indemnification) will survive.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Ohio, and you consent to the personal jurisdiction of such courts.

Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after any changes constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreement, constitute the entire agreement between you and Edentech Solutions Group LLC regarding the Services and supersede all prior agreements and understandings.
